Terms of Service

Effective 09-01-2026 · Updated 10-29-2026

These Terms of Service ("Terms") are a legal agreement between you and Order Local, LLC ("Order Local," "we," "us," or "our") and govern your use of our website, our local ordering and pickup platform, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

2. The Service

Order Local provides software that allows Vendors to create a branded online storefront; accept preorders for pickup or drop-off; ring up in-person sales from a phone (Market Mode); sell recurring subscriptions; quote and accept custom orders; run promo codes and loyalty programs; email their Customers; and get paid through their own Stripe account or directly by Venmo, Cash App, Zelle, or cash.

We are not a party to transactions between Vendors and Customers. Vendors sell directly to Customers. Order Local provides the technology platform. Vendors are responsible for their products, fulfillment, customer service, taxes, and compliance with applicable laws and regulations.

3. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. By creating an account, you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your login and for all activity under your account, including activity by team members you invite. Team members act on your behalf; you may remove them at any time. Notify us immediately if you suspect unauthorized access.

4. Vendor Responsibilities

As a Vendor using the Service, you agree to:

Order Local is not responsible for the quality, safety, legality, or fulfillment of Vendor products.

5. Payments, Fees, and Refunds

Customer Payments

Card, Apple Pay, and Google Pay payments are processed by Stripe and routed directly from the Customer to the Vendor's connected Stripe account on Stripe's normal payout schedule. Order Local does not hold or escrow Customer funds and never has access to them.

A Vendor may also offer Venmo, Cash App, Zelle, or cash at pickup. Those payments happen entirely between the Customer and the Vendor, outside the Service; the Vendor confirms receipt in their dashboard, and the Vendor alone is responsible for collecting, reconciling, and refunding them. A Vendor may require a card deposit on certain cash orders, which is processed through Stripe like any other card payment.

Subscriptions. When a Customer subscribes to a recurring item, Stripe charges their payment method once per delivery or pickup on the schedule shown at checkout, into the Vendor's Stripe account. A Customer may ask the Vendor to cancel at any time, and the Vendor can payment method once per delivery or pickup on the schedule shown at checkout, into the cancel from their dashboard; cancellation stops future charges, refunds any upcoming delivery that payment method once per delivery or pickup on the schedule shown at checkout, into the was already charged but not yet made, and does not refund deliveries already received. Vendors payment method once per delivery or pickup on the schedule shown at checkout, into the may skip a single upcoming delivery, in which case the Customer is not charged for it.

Custom orders. A Vendor may quote a custom order and require a deposit, with the balance due by a date the Vendor sets. Deposits and balances are charged through Stripe to the Vendor's account, and are subject to the Vendor's own refund terms.

Stripe Processing Fees

Stripe charges its standard payment processing fees (currently 2.9% + $0.30 per successful card charge in the United States; rates may vary). These fees are paid by the Vendor and are deducted from each transaction by Stripe.

Platform Fee

Order Local charges Vendors a flat monthly platform fee based on the Vendor's counted sales for each calendar month: $0 for counted sales under $250; $9 for $250 to $750; $19 for $750 to $2,000; $39 for $2,000 to $5,000; and $79 for $5,000 or more. The fee is capped at $79 per month regardless of sales volume. "Counted sales" means order subtotals plus delivery fees, minus discounts and refunds; taxes and tips are excluded. Payments the Vendor records as received outside the platform (such as cash or peer-to-peer payments) count toward counted sales, and Vendors agree to record such payments accurately. Each calendar month stands alone — the counter resets at the start of every month, and there is no long-term commitment.

Each fee level includes a monthly allowance of text messages sent by the platform on the Vendor's behalf (order updates to Customers and, where enabled, alerts to the Vendor): 100 texts at the free level, 250 at the $9 level, 500 at the $19 level, 1,500 at the $39 level, and 3,000 at the $79 level. Text messages are not interrupted when an allowance is reached; messages beyond the allowance are billed at $0.015 per message as a separate line on the same monthly invoice. The allowance resets each calendar month with the fee level.

The fee for a measured month is billed in arrears on or about the 15th of the following month to the Vendor's payment method on file. Vendors whose counted sales exceed the free level must keep a valid payment method on file. If a fee remains unpaid after reasonable notice, we may pause the Vendor's storefront from accepting new customer orders until the balance is settled; existing orders and account data are not affected, and payment restores ordering. Fees already incurred for a measured month remain due, and we do not refund platform fees unless required by law. We may change the fee schedule at any time; we will provide reasonable advance notice of material changes.

Refunds, Chargebacks, and Disputes

Refunds to Customers are the Vendor's responsibility. Card refunds are issued through the Vendor's Stripe account from the order page; refunds of Venmo, Cash App, Zelle, or cash payments are made by the Vendor directly and recorded in the dashboard. Chargebacks initiated by Customers are handled per Stripe's chargeback process; chargeback fees and amounts are the Vendor's responsibility. We may suspend or terminate accounts with excessive chargeback activity.

6. Customer Terms

When you place an order on a Vendor's storefront or at a Vendor's booth, you are entering into a transaction with the Vendor, not with Order Local. The Vendor is responsible for the products listed, for fulfillment, and for any refunds. Disputes about products or fulfillment should be directed to the Vendor first. You do not need an account to order; your order is tied to the email address and phone number you provide, which is also how a Vendor's loyalty program tracks your rewards. A Vendor may record a no-show if you do not collect an order you placed, which can affect whether that Vendor requires a deposit from you on future cash orders.

7. Text Messages (SMS)

Providing a mobile phone number at checkout, on a custom order request form, or in Vendor account settings constitutes your consent to receive transactional text messages from Order Local relating to that order or account — including order confirmations, status updates, custom order quotes, balance reminders, and, for Vendors, new order alerts. Message frequency varies with order activity. Message and data rates may apply.

Reply STOP to any message to opt out, or START to opt back in; Vendors may also disable text alerts in notification preferences. We do not send marketing or promotional text messages, and we do not share mobile numbers with third parties for their own marketing purposes. Wireless carriers are not liable for delayed or undelivered messages. See our Privacy Policy for details on how mobile numbers are handled.

8. Vendor Content and License

You retain all rights to Vendor Content you upload. By uploading Vendor Content, you grant Order Local a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content for the limited purpose of operating the Service on your behalf.

You represent and warrant that you own or have the necessary rights to your Vendor Content and that it does not infringe any third party's rights.

9. Acceptable Use

You agree not to use the Service to:

We may suspend or terminate accounts that violate this section.

10. Intellectual Property

The Service, including its software, design, and branding, is owned by Order Local and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service except as expressly permitted.

11. Termination

You may close your shop at any time from your account settings, which takes your storefront offline immediately. We may suspend or terminate your account or access to the Service if we believe you have violated these Terms, if your use poses a risk to us or to others, or as required by law. Upon termination, the rights granted to you under these Terms cease, but provisions that by their nature should survive (including ownership, disclaimers, liability limitations, and dispute resolution) will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. We are not responsible for the products, conduct, or content of Vendors or Customers.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ORDER LOCAL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Order Local and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Vendor Content, your products and fulfillment, your interactions with Customers, or your violation of these Terms or applicable law.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify Vendors by email and update the Effective Date at the top of this page. Continued use of the Service after a change indicates acceptance of the updated Terms.

17. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Order Local with respect to the Service. If any provision is held unenforceable, the remaining provisions will remain in full effect. Our failure to enforce a right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent.
